OWNER-REVIEW DRAFT / NOT YET FINAL
Service terms
Proposed operating and commercial terms for Always Upsell. This draft is not an accepted agreement and is not ready for customer assent.
Revision / August 31, 2026
Accounts and restaurant authority
The proposed service is for authorized restaurant owners, administrators, reviewers, and invited staff. A person launching a restaurant must be authorized to provide its details, choose licensed learners, accept an authoritative quote, and manage access. Users must provide accurate account information, protect sign-in access, and report suspected misuse.
Owner, reviewer, staff, and learner permissions are scoped to their work. Users must not attempt to bypass a role, activation, publication, billing, or security gate.
Operational and safety responsibility
Always Upsell helps organize submitted menu sources, pairing drafts, revisions, review context, and staff learning. Draft or generated content may be incomplete or wrong. The restaurant remains responsible for source accuracy, ingredient and allergen procedures, compatibility decisions, expert review, publication choices, staff instruction, and guest safety.
A published revision, compatibility gate, or reviewer state is an operational control—not regulatory certification, medical or dietary advice, or a guarantee that an item is safe for a particular guest. Staff must follow current restaurant procedures and escalate uncertainty to the restaurant's authorized expert.
Acceptable use
Users may use the service only for authorized, lawful restaurant operations. Proposed restrictions include:
- do not upload material you lack authority to use or that violates another person's rights;
- do not enter deceptive safety claims, impersonate another person, or misrepresent approval;
- do not probe, disrupt, overload, reverse engineer, or bypass service and security controls except where law expressly permits; and
- do not use the service to distribute malware, unlawful content, spam, or abusive communications.
The final terms must define investigation, restriction, suspension, and appeal procedures before these proposed restrictions are enforced as contract terms.
Pricing, promotions, and payment
Launch pricing is structured as a monthly restaurant base amount plus a monthly amount for each licensed learner. Current amounts, licensed seats, valid promotion effects, amount due today, and recurring basis appear in a confirmed quote and checkout.
Promotion availability and eligibility are not guaranteed until confirmed in a confirmed quote. A return from Stripe does not by itself confirm activation; verified payment status or a valid full-coverage promotion is required. The final agreement and checkout must resolve taxes, renewal, failed payment, price-change notice, and other billing terms before enrollment.
Cancellation and refunds
Self-service cancellation, required notice, effective timing, and refund policy have not been established. Until owner review is complete, no part of this draft promises a cancellation date, refund, credit, or continued access. The proposed assisted contact is support@alwaysupsell.com; that mailbox and the operating procedure must be verified before launch.
Availability and changes
The proposed service may change as menu workflows, providers, and controls evolve, and it may occasionally be unavailable. A final agreement should define material-change notice, maintenance, support scope, account export, suspension, and discontinuation commitments. This draft makes no uptime or feature-continuity guarantee.
Proposed limitation language
Subject to owner and legal review, the service would be provided on an “as available” basis to the extent permitted by law, without implied guarantees that draft recommendations or service availability will meet every need. A final agreement may limit indirect, special, incidental, consequential, or lost-profit damages and may cap aggregate liability, except where applicable law does not permit a limitation.
No liability cap, exclusions, warranty disclaimer, indemnity, dispute process, or governing law is established by this draft. Those provisions require legal-entity-specific approval before customer assent.
